1. Operator and brands
These websites are operated by Panda AI Lab (Canada) Inc. (“Panda AI Lab,” “we,” “us” or “our”), a Canadian corporation operating brands and services that include Prudentia21 and Shepherd Family Connect. Brand names do not create separate legal entities unless expressly stated.
2. Acceptance and scope
By accessing or using the website, you agree to these Website Terms. If you do not agree, do not use the website. These terms apply only to website use. A purchase, membership, working session or Shepherd companionship arrangement may also be governed by service-specific terms, a service order, proposal, consent form or other signed agreement. If there is a conflict, the signed service-specific agreement controls for that service.
Website descriptions, examples, availability statements and anticipated service patterns are general information and may change. Sending an inquiry does not create a confidential professional relationship, guarantee acceptance or require either party to proceed.
3. Eligibility and authority
You must have legal capacity to use any transaction feature and must provide accurate information. If you submit information about another person, you represent that you have lawful authority to do so and will not submit sensitive or unnecessary information about them. Shepherd Family Connect V1 services are available only to participants who are at least 20 years old and able to provide informed consent.
4. Shepherd Family Connect: non-clinical service boundary
Shepherd Family Connect provides scheduled, non-clinical companionship and community connection. It does not provide psychotherapy, counselling, psychiatric or medical treatment, crisis intervention, emergency response, health monitoring, transportation, home visits, personal care, substance-withdrawal management or 24/7 availability. Website content must not be relied on to diagnose, treat, prevent or manage any health or safety condition.
Shepherd may decline, pause or end discussions when a request is outside its scope, cannot be supported safely or is not an appropriate fit. Nothing on the website promises acceptance, uninterrupted availability, a particular companion, permanent friendship, a specific frequency or a particular outcome.
5. No professional advice or guaranteed results
Website content is general information and does not constitute legal, tax, accounting, financial, medical, psychological or other regulated professional advice. Business, technology and companionship outcomes depend on circumstances outside our control. We do not guarantee revenue, savings, productivity, security, wellbeing, connection, friendship, healing or any other result.
6. Acceptable use
You must not:
- use the website unlawfully, fraudulently, abusively or to harm another person;
- attempt unauthorized access, probe security, introduce malicious code or interfere with availability;
- impersonate another person or submit information without lawful authority;
- scrape, copy or use automated systems in a manner that materially burdens or exploits the website;
- submit passwords, private keys, payment-card numbers, detailed health records, crisis disclosures or other information the website does not request; or
- misrepresent our services, relationship, credentials or endorsements.
7. Communications and submissions
Email and ordinary website communications may not be secure or continuously monitored. Do not use them for emergencies or highly sensitive information. We may retain and use submissions as described in our Privacy Policy. Feedback about the website may be used to improve our services, but we do not acquire ownership of your pre-existing intellectual property.
8. Intellectual property
Unless otherwise stated, website copy, designs, software, graphics, logos, product names and original materials are owned by or licensed to Panda AI Lab. You may access them for personal, lawful and non-commercial use. You may not reproduce, modify, distribute, sell, create derivative works from or commercially exploit them without written permission, except as permitted by law.
9. Third-party services and links
The website may link to or use third-party hosting, communications, scheduling, payment, anti-abuse or other providers. We do not control third-party services and are not responsible for their availability, content or independent privacy practices. Your use of them may be governed by separate terms.
10. Website availability and changes
We may correct errors and prospectively change, suspend or discontinue website content, features, service descriptions or availability. We do not promise that the website will always be available, uninterrupted, secure or error-free. Signed agreements are not retroactively changed by a website update unless the agreement and applicable law permit it.
11. Disclaimer of warranties
To the maximum extent permitted by applicable law, the website and its content are provided “as is” and “as available,” without representations, warranties or conditions of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy or availability. This disclaimer does not exclude warranties or rights that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by applicable law, Panda AI Lab and its directors, officers, employees, contractors and representatives will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss arising from website use, inability to use the website, reliance on website content or third-party services, including lost profits, opportunity, data or goodwill.
For claims arising only from free website use, our aggregate liability will not exceed CAD $100. This limit does not apply to liability that cannot lawfully be limited, and it does not replace any different limitation contained in a signed service agreement. Nothing in these terms limits non-waivable consumer rights.
13. Responsibility for misuse
To the extent permitted by law, you are responsible for reasonably foreseeable loss and third-party claims caused by your unlawful website use, malicious conduct, material breach of these terms, or submission of another person's information without authority. You are not responsible under this section for loss caused by our negligence or misconduct.
14. Privacy
Our Privacy Policy explains how we collect, use, disclose, protect and retain personal information. Service-specific consent choices may provide additional detail. Privacy consent is not expanded merely by accepting these Website Terms.
15. Governing law and disputes
These terms are governed by the laws of British Columbia and the applicable federal laws of Canada, without limiting any mandatory rights you may have under the laws that apply to you. We encourage you to contact us first so we can try to understand and resolve a concern, but doing so is not a mandatory dispute-resolution process.
Nothing in these terms requires pre-dispute arbitration, waives a class proceeding right, prohibits a public review or restricts access to a court, tribunal, regulator or other process available under applicable law.
16. Severability, waiver and assignment
If a provision is unlawful or unenforceable, it will be limited or severed only to the minimum extent necessary, and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign rights under these terms without our written consent; we may assign them as part of a lawful corporate reorganization or transfer, subject to applicable law.
17. Changes to these terms
We may update these terms prospectively. The effective date identifies the version in force. Material changes will be communicated in a manner appropriate to the circumstances. Continued website use after an update constitutes acceptance only to the extent permitted by law.
18. Contact
Questions about these Website Terms may be sent to [email protected]. Shepherd service inquiries may be sent to [email protected].
